Chat203 Terms of Service

Version 1.7 (2026-10-28). In effect.

Version: 1.7 (2026-10-28) · Effective date: October 28, 2026

IMPORTANT: PLEASE READ. These Terms include a binding arbitration clause and a class action waiver that affect your legal rights. By using Chat203, you agree to resolve disputes through individual arbitration.

1. Acceptance of terms

By creating an account, installing the Chat203 widget, or otherwise using Chat203 (the "Service"), you acknowledge that you have read, understood and agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a business, you confirm you are authorized to bind that business, and "you" means that business. You confirm that you are at least 18 years old and able to form a binding contract. If you do not agree, do not use the Service.

These Terms are a legally binding agreement between you and Cabana West Real Estate FL, LLC, a Florida limited liability company doing business as Cabana West ("Cabana West", "We", "Us"). Your acceptance is logged and timestamped for legal compliance and verification.

2. Service description

Chat203 is a bilingual (English and Spanish) AI chat assistant that businesses add to their own websites. The Service provides:

(a) A chat widget installed with a script tag or a platform plugin. (b) An AI assistant that answers visitors using content the business provides or approves: its website (by crawling), uploaded files, and written questions and answers. (c) Handoff to the business's human team, a live inbox, business hours and offline messages. (d) Lead capture and delivery by email, webhook or third-party integrations. (e) A web dashboard and a companion mobile app for managing the assistant, its knowledge, its rules and its analytics.

Plans. Plans have a flat monthly price. We do not charge per answer, per team member or per human handoff. When a paid plan reaches its conversation allowance, the assistant keeps answering. We will alert you and offer an upgrade, but we will not silence it. Free and trial plans stop starting new AI conversations when they reach their monthly allowance; until the allowance resets, new visitors are offered a form to leave their contact details, and conversations already started continue. The monthly AI spend cap you set is separate: when that cap is reached, AI answers pause until the next month, and visitors are offered your human or leave-a-message options instead. Billing, renewal and cancellation are in section 13.

3. Artificial intelligence: what it is and isn't

AI ANSWERS CAN BE WRONG AND ARE NOT GUARANTEED. The Service relies on automated artificial-intelligence language models. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (a) the assistant generates answers probabilistically from your content and third-party AI models; (b) the assistant is prone to errors, "hallucinations", outdated summaries, misinterpretations, inaccuracies and incomplete statements; and (c) CABANA WEST DOES NOT WARRANT, GUARANTEE OR ASSUME ANY RESPONSIBILITY FOR THE ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, LEGALITY OR UTILITY OF ANY ANSWER, STATEMENT OR ACTION OF THE ASSISTANT. We design it to answer only from your approved content and to offer a human when it is unsure.

Independent contractor; no agency. Chat203 and Cabana West act purely as an independent software infrastructure provider. UNDER NO CIRCUMSTANCES SHALL CHAT203, CABANA WEST OR THEIR DEVELOPERS BE CONSTRUED AS AN AGENT, EMPLOYEE, FIDUCIARY, PARTNER OR REPRESENTATIVE OF YOUR BUSINESS. Any output or statement made by the assistant on your website is legally deemed your own commercial statement, made under your direct instruction and apparent authority. You are solely responsible for reviewing, auditing and maintaining the factual accuracy of your knowledge base.

Disputes between you and your visitors. Every interaction, communication, transaction and dispute between you and a visitor to your website is solely between you and that visitor. Cabana West is not a party to it, has no obligation to participate in, respond to, mediate, investigate or defend any complaint, claim, demand or proceeding arising from it, and assumes no responsibility for anything said, promised, bought, sold or done between you and your visitors. Any such complaint we receive will be forwarded to you, and you will handle it. If we are nonetheless named in or drawn into such a matter, section 11 applies in full and you will reimburse every cost we incur, from the first dollar.

Attempts to manipulate the assistant. Visitors and other third parties may try to trick, pressure or manipulate the assistant into ignoring its instructions or saying things outside your approved content (sometimes called "prompt injection" or "jailbreaking"). We build safeguards against this but cannot prevent every attempt. Cabana West is not responsible for any output produced as a result of such an attempt.

Always disclosed. The widget informs every visitor, at the start and whenever asked, that they are interacting with an AI assistant. You may reword this notice, but you may not disguise, hide, suppress or modify it to mislead any visitor into believing the assistant is a human being.

No professional advice. The assistant does not and cannot provide licensed professional legal, medical, psychiatric, mental-health, therapeutic, financial, investment, tax or insurance advice. You are strictly forbidden from configuring or presenting the Service for such purposes.

Crisis safety. If a visitor uses crisis or self-harm language, the assistant stops generating answers and shows crisis resources (including the 988 Suicide & Crisis Lifeline). You have no right to override or disable these life-safety guardrails.

No promises outside your content. The assistant must not promise prices, discounts, refunds, delivery dates or contract terms that are not in your approved content. If your content is wrong or out of date, so are the answers. Keeping it accurate is your job.

4. Your responsibilities as a business

You are solely responsible for:

Your own copies. YOU ARE SOLELY RESPONSIBLE FOR KEEPING YOUR OWN COPIES OF ANY DATA YOU NEED. Your dashboard lets you export your conversations and leads at any time; see sections 7 and 12 on retention and on data after termination.

Reporting and exclusive remedy. If you become aware of an error, defect or vulnerability in the Service, you must notify us promptly. On notice we will make reasonable efforts to investigate and correct it. SUCH CORRECTION IS YOUR SOLE AND EXCLUSIVE REMEDY. No obligation to correct creates any liability for damages of any kind.

We have no relationship with your visitors and assume no duty to them.

5. Prohibited uses

You may not use the Service:

Restricted businesses and content. We do not serve, and you may not use the Service for, any business or content that is illegal where you operate or where your visitors are, or that falls in any of these categories: adult entertainment, pornography, escort, prostitution or other sexual services; firearms, ammunition, explosives or other weapons; illegal drugs, drug paraphernalia, cannabis, CBD, tobacco, vaping or other age-restricted substances; gambling, betting, lotteries or sweepstakes; cryptocurrency offerings, forex, multi-level marketing, pyramid or "get-rich-quick" schemes; payday lending, debt collection, credit repair or bail bonds; counterfeit or stolen goods; content that promotes hatred, violence, terrorism, discrimination or harassment of any person or group; or any business our payment processor prohibits. We may refuse, suspend or close any account found to be in one of these categories (section 12), whether or not it was declared at sign-up.

Finance businesses may use the Service only with our strict safety preset, which we apply automatically.

6. Website crawling license

You grant us a limited, non-exclusive license to access, crawl, copy and process the websites and domains you list in your account, solely to provide the Service to you. You confirm you own or control those domains. We crawl only the domains you list, honor robots.txt, and re-crawl on a schedule you control. You can remove a domain or source at any time.

7. Your data, visitor data and our role

Service provider / processor. We process your visitors' conversations and leads on your behalf and under your instructions, as your service provider (CCPA/CPRA) and processor (GDPR-style laws). We do not sell or share that data, and we use it only to provide, secure and improve the Service for you.

No cross-business use. We never use one business's conversations, leads or content to answer, train or improve the assistant for another business.

AI provider. Conversations are sent to our AI model provider to generate answers, under terms that prohibit it from training its models on that data. Our current subprocessors are listed at chat203.com/subprocessors. We will update that list before adding a new subprocessor.

Retention. Conversations are kept for the retention period set in your account (default 365 days) and leads for their own period (default 730 days), then deleted automatically. You can export your data and delete a visitor's data at any time from your dashboard.

Ownership. Your content, conversations and leads remain yours. You grant us the license needed to store, process and display them to provide the Service.

8. Ownership and intellectual property

All software, features, design, code, graphics, logos and trademarks of the Service belong to Cabana West and are protected by intellectual-property laws. You may not copy, modify or distribute any part of the Service; reverse engineer or extract its source code, prompts or models; use our trademarks without written permission; create derivative works; or sublicense, sell or transfer your access.

Displaying the widget. While your account is active and in good standing, you may display the widget and any "Powered by Chat203" notice on the domains registered in your account, exactly as the Service renders them, and nowhere else. You may not alter, hide or imitate the widget or our marks; present Chat203 as endorsing, sponsoring, partnering with or vouching for your business; or use our name or logo in your own advertising without our written permission. We may disable the widget on any page or site that violates these Terms, and we may require you to correct or remove any use of our marks.

Feedback. If you send us ideas, suggestions or feedback, we may use them freely, without any obligation or payment to you.

9. Disclaimer of warranties: "as is" and "as available"

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, DOCUMENTATION AND ALL SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS, DEFECTS AND ERRORS, AND WITHOUT WARRANTY OF ANY KIND.

CABANA WEST, ON BEHALF OF ITSELF, ITS MEMBERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS AND DEVELOPERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, SYSTEM INTEGRATION, FREEDOM FROM MALWARE OR CODE DEFECTS, AND NON-INFRINGEMENT.

ACTIVELY DEVELOPED SOFTWARE AND EXPECTED SYSTEM ERRORS. YOU EXPRESSLY ACKNOWLEDGE THAT THE SERVICE IS RAPIDLY EVOLVING AND UNDER CONTINUOUS ACTIVE DEVELOPMENT. CODE UPDATES, SCHEMA MIGRATIONS, THIRD-PARTY AI-MODEL OUTAGES AND INFRASTRUCTURE MODIFICATIONS MAY OCCUR AT ANY TIME WITHOUT NOTICE, POTENTIALLY CAUSING: (I) SYSTEM INTERRUPTIONS, DOWNTIME OR LATENCY; (II) LOSS, CORRUPTION, DESTRUCTION OR EXPOSURE OF DATA, TRANSCRIPTS OR ATTACHMENTS; (III) INACCURATE, OFFENSIVE OR MISLEADING AI OUTPUTS; (IV) SECURITY VULNERABILITIES OR BUGS UNKNOWN TO US AT THE TIME OF DEPLOYMENT.

YOU ASSUME FULL AND EXCLUSIVE RESPONSIBILITY AND RISK FOR USING THE SOFTWARE, EVALUATING ITS PERFORMANCE, AND IMPLEMENTING APPROPRIATE INTERNAL CONTROLS, INDEPENDENT DATA BACKUPS AND CUSTOMER-SERVICE VERIFICATIONS. CABANA WEST DISCLAIMS ANY LIABILITY FOR ACTIONS TAKEN OR OMITTED IN RELIANCE UPON THE SERVICE.

Third-party services. The Service works with services we do not operate, such as website platforms, plugin hosts, CRMs, automation tools, email providers and AI model providers. We are not responsible for them, their availability or their changes. Your use of them is governed by their own terms, and any dispute with them is between you and them.

10. Limitation of liability: "the shield"

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT SHALL CABANA WEST, ITS PARENT, AFFILIATES, MANAGERS, OFFICERS, EMPLOYEES, INDEPENDENT DEVELOPERS, CONTRACTORS, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE UNDER ANY LEGAL OR EQUITABLE THEORY (WHETHER IN CONTRACT, TORT [INCLUDING ACTIVE, PASSIVE OR COMPARATIVE NEGLIGENCE, STRICT LIABILITY OR PRODUCT LIABILITY], INDEMNITY, STATUTE OR OTHERWISE) FOR ANY: (I) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES; (II) LOSS OF REVENUE, PROFITS, BUSINESS REPUTATION, GOODWILL, CUSTOMERS, CONTRACTS OR ANTICIPATED SAVINGS; (III) BUSINESS INTERRUPTION, COMPUTER OR SERVER DOWNTIME, OR SERVICE DISRUPTION; (IV) CORRUPTION, THEFT, LEAKAGE, LOSS OR DESTRUCTION OF DATA, LEADS OR ATTACHMENTS; OR (V) CLAIMS ARISING FROM ANY STATEMENT, PRICING QUOTE, COMMITMENT, MISINFORMATION OR "HALLUCINATION" GENERATED BY THE AI ASSISTANT.

(b) CUMULATIVE LIABILITY CAP. CABANA WEST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO CABANA WEST UNDER THESE TERMS IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE OCCURRENCE GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (US$100.00). THIS CAP APPLIES TO EVERY PLAN, INCLUDING FREE, PILOT, BETA AND TRIAL PLANS.

(c) FAILURE OF ESSENTIAL PURPOSE. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION APPLY EVEN IF ANY REMEDY PROVIDED UNDER THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE, AND REGARDLESS OF WHETHER CABANA WEST WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE FEES CHARGED FOR THE SERVICE REFLECT THIS ALLOCATION OF RISK AND THAT CABANA WEST WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THESE LIMITATIONS.

11. Indemnification and direct-loss protection

You agree to defend, indemnify and hold harmless Cabana West Real Estate FL, LLC, its members, managers, officers, employees, independent software developers, agents, licensors and affiliates (the "Indemnified Parties") from and against any and all claims, actions, suits, demands, liabilities, damages, losses, fines, penalties, settlements, costs and expenses (including reasonable attorneys' fees, expert fees and internal investigative costs) arising out of or related to:

(a) your access to or use of the Service, dashboard, plugins or widget; (b) your knowledge content, uploaded documents, crawled URLs or settings; (c) any statement, hallucination, commitment, pricing guarantee or misrepresentation made by the assistant to any of your visitors or third parties; (d) any alleged violation by you or your assistant of federal or state consumer-protection laws, false-advertising laws or review rules (including FTC 16 CFR Part 465); (e) any alleged wiretapping, call-recording, privacy or statutory-interception claim (including under the California Invasion of Privacy Act [CIPA, Cal. Penal Code § 631], the Florida Security of Communications Act [Fla. Stat. ch. 934], ECPA, or common-law invasion of privacy) arising from your website visitors' interactions with the chat widget; (f) your failure to provide adequate notice or to obtain legally required visitor consents for data recording, lead forwarding, third-party AI processing or outbound marketing communications (including under the TCPA and CAN-SPAM); (g) any breach of your representations, warranties or covenants in these Terms; (h) any dispute between you and any of your customers, website visitors, team members or contractors; and (i) any lawful request, subpoena, order or investigation concerning you or your data, including our costs and attorneys' fees in responding to it.

Direct damages coverage. This indemnity is not limited to third-party claims. It extends fully to any direct losses, forensic remediation costs, regulatory fines or business damages incurred by Cabana West resulting from your unauthorized actions, illicit content or breach of these Terms, including any disruption caused to our other customers.

Defense procedure. Cabana West reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense. You shall not settle any claim without the prior written consent of Cabana West. This indemnification survives termination of your account.

12. Zero-tolerance termination

We reserve the right to suspend or terminate your account immediately and without notice for any violation of these Terms, or for any reason at our sole discretion. You acknowledge that:

Grounds for immediate termination include, but are not limited to: abuse of the Service, a prohibited business type or use (section 5), harassment, illegal activity, or any behavior we deem harmful to the Service, our customers or their visitors.

ILLEGAL ACTIVITY IS ABSOLUTELY PROHIBITED. We will cooperate fully with law enforcement and comply with any lawful request, order, subpoena or warrant. You have NO EXPECTATION OF PRIVACY in your data with respect to such requests, and we may preserve and disclose your data without notice to you where permitted or required by law.

COMPLAINTS AND OUR DISCRETION: We may suspend or terminate your account on receipt of a complaint or allegation, whether or not it is substantiated, at our sole discretion. If your conduct while using the Service causes us reputational harm, defamation, financial loss, operational disruption, regulatory exposure, or damage of any other kind, we reserve every right and remedy available to us against you, including recovery of damages and costs.

No duty to monitor. We have no obligation to monitor your content, settings or conversations. We may review, disable or remove any content, source or widget display at any time, without notice, if we believe it violates these Terms or the law, or creates risk for us, our customers or their visitors.

Verifying compliance. On request, you will give us, within 10 days, accurate information we reasonably need to confirm that you comply with these Terms (for example, what your business does and where it operates). Not answering, or answering inaccurately, is grounds for suspension.

Who controls an account. If there is a dispute over who controls an account (for example between owners, partners, employees, former employees, or an agency and its client), we decide based on the information available to us, and our decision is final. We may suspend the account until the dispute is settled, and we are not liable for doing so.

DATA AFTER TERMINATION: Upon suspension, termination or closure of your account, whether by you or by us, WE HAVE NO OBLIGATION TO RETAIN, EXPORT, RETURN OR RESTORE YOUR DATA, and we may delete it at any time and without notice. IF YOU WANT A COPY OF YOUR DATA, YOU MUST EXPORT IT BEFORE YOUR ACCOUNT ENDS. We may retain data where required by law, to resolve disputes, to enforce these Terms, or where copies persist in routine system backups; any retained copy remains subject to these Terms. Deletion from live systems does not guarantee immediate or complete removal from backups.

13. Subscriptions, renewal and cancellation

Automatic renewal. Paid plans are billed monthly in advance and renew automatically at the end of each billing period, at the price shown when you subscribed or as later notified to you, until you cancel. You authorize us and our payment processor to charge your payment method on each renewal. Before you pay, we show you the recurring amount and how often it is charged.

How to cancel. You may cancel at any time in your dashboard, under Settings → Plan, without contacting us or speaking to anyone. We confirm every cancellation on screen and by email.

When cancellation takes effect. Cancellation stops the next renewal, and no further charges are made. Your paid plan stays active until the end of the billing period you have already paid for; then your account moves to the Free plan. You may undo a cancellation at any time before that date.

All sales are final. All fees are non-refundable, including subscription fees and add-ons, except where the law requires otherwise. Cancelling stops future renewals; it does not refund or credit any amount already paid, including any unused part of a billing period.

After your plan ends. Free-plan limits apply, including the monthly conversation allowance (section 2), and features that are not part of the Free plan stop being available. WE DO NOT GUARANTEE THAT WE WILL KEEP ANY DATA AFTER YOUR PAID PLAN OR YOUR ACCOUNT ENDS beyond what section 7 and section 12 say. Export anything you need before then.

Free trials. A free trial is not a paid plan: we charge nothing unless you choose a paid plan and enter a payment method.

Price changes. We may change plan prices. A change applies from your next renewal after we notify you, and you may cancel before it takes effect.

Taxes. Prices do not include sales, use, value-added or similar taxes. You are responsible for all such taxes, other than taxes on our income, and we may add and collect them where the law requires.

After your account ends. When your account is closed, suspended or terminated, remove the install line from your website. The script then renders nothing, and any continued display of our name, logo or widget is an unauthorized use of our marks (section 8).

Subscribing through Bee203. Chat203 can also be added to an account on Bee203 (bee203.com), a business management platform. Bee203 and Chat203 are separate commercial software offerings owned and operated by the same legal entity, Cabana West Real Estate FL, LLC, d/b/a Cabana West. If you subscribe to Chat203 through Bee203: (a) Billing administration. Bee203 administers and bills the Chat203 subscription fee to the payment method on file in your Bee203 account, on the schedule and at the price presented inside Bee203. Billing disputes, cancellations and payment processing for the add-on are governed by Bee203's billing terms. (b) Independent service terms. These Chat203 Terms of Service, the Data Processing Addendum and the Chat203 Privacy Policy govern the Chat203 chat software, code integrations, data ingestion, visitor interactions and AI processing. You must directly review and accept these Terms in Chat203 before your widget is enabled. Under no circumstances does subscribing through Bee203 waive, reduce or modify the disclaimers, risk allocations or liability caps in sections 3, 9, 10 and 11. (c) Data separation. Bee203 shares only your operational metadata (name, email, business name, language preference and add-on status) with Chat203. Chat203 does not access or store your Bee203 accounting, banking or task records, and Bee203 does not store or process your Chat203 visitor conversations. (d) Termination and cross-default. When the add-on is canceled or terminates inside Bee203, your Chat203 account moves to the Free plan at the end of the paid billing cycle. If your Bee203 account is suspended or terminated for fraud, chargeback or illegal conduct, Cabana West may immediately suspend or terminate your Chat203 access without refund or liability.

14. Force majeure

We are not liable for any delay or failure caused by events outside our reasonable control, including natural disasters, pandemics, internet, power or telecommunications failures, large-scale cyberattacks, failures of third-party providers (including hosting and AI providers), war, terrorism, civil unrest, labor disputes, and sudden changes in law or regulation. During such events our obligations are suspended, and we may modify or pause the Service to protect its integrity.

15. Binding arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, including its Mass Arbitration Supplementary Rules where they do not conflict with this section. Arbitration takes place in Wellington, Florida, or by video. You waive your right to a jury trial. The arbitrator's decision is final, and judgment may be entered in any court of competent jurisdiction. Each party bears its own costs unless the arbitrator rules otherwise. Proceedings are confidential. Either party may seek injunctive relief in court to protect intellectual property or prevent irreparable harm.

(a) Try to resolve it first. Before starting arbitration or a small-claims case, the party with the claim must send the other a written notice describing the claim and the relief sought, signed personally by the claimant (and by its lawyer, if it has one). Notices to us go to support@chat203.com with the subject "Dispute notice". For 60 days after the notice, the parties will try in good faith to resolve the dispute, including at least one phone or video meeting if either party asks for one. Deadlines for bringing the claim are paused during those 60 days. A case started without completing this step will be dismissed, and the party that skipped it will reimburse the other party's costs of seeking dismissal.

(b) Small claims. Either party may instead bring an individual claim in small-claims court in Palm Beach County, Florida, if the claim qualifies.

(c) Who decides. The arbitrator decides every question about the scope, validity, enforceability and arbitrability of this section, except that a court decides disputes about section 16 and about paragraph (e).

(d) Your right to opt out. You may opt out of this section within 30 days after you first accept a version of these Terms that contains it. To opt out, email support@chat203.com from your account's email address with the subject "Arbitration opt-out", giving your name, your business and your decision. Each account owner may opt out only for its own business. Opting out does not affect any other section, including section 16. Opting out does not close your account. If you accepted an earlier version of these Terms that required arbitration, opting out of this version of section 15 leaves that earlier arbitration agreement in effect.

(e) Mass filings. If 25 or more substantially similar demands are filed against the same party by or with the help of the same or coordinated lawyers, they are handled as follows. Ten demands proceed first, five chosen by each side. The rest are paused, no filing or administrative fees are owed on them, and deadlines for them are paused. After the first ten are decided, the parties will mediate the remaining demands in good faith. Any that are not resolved proceed in batches of up to 100, each batch before a single arbitrator. The first ten must be decided, or mediation must begin, within 180 days after the first arbitrator is appointed. Any demands not resolved within 60 days after mediation begins proceed to batches without further delay. A court may enforce this paragraph.

16. Class action waiver

Disputes will be resolved only on an individual basis, not in a class, consolidated or representative action. You waive any right to take part in a class action or class-wide arbitration, or to act as a private attorney general. If this waiver is found unenforceable, the arbitration section (15) is void, but the rest of these Terms remain in effect.

17. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. For matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts in Palm Beach County, Florida, and waive any objection based on lack of personal jurisdiction, improper venue or forum non conveniens. ANY CLAIM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ARISES; OTHERWISE IT IS PERMANENTLY BARRED AND YOU IRREVOCABLY WAIVE THE RIGHT TO BRING IT.

18. Changes to these Terms

We reserve the right to modify these Terms at any time. When we do:

If you disagree with updated Terms, your sole remedy is to stop using the Service and close your account.

19. Electronic signatures and records

You agree that agreements, notices and records may be provided electronically, and that clicking a button or ticking a box to accept is your signature, with the same effect as a handwritten one under the U.S. ESIGN Act and applicable state law (UETA). Your acceptance is recorded with the date, time and version accepted, attributed to you through your authenticated account; you may request a copy of that record at any time. To access and keep electronic records you need a device with a current web browser, an internet connection and an email address. You may withdraw your consent to transact electronically by contacting us; withdrawal does not affect anything you accepted beforehand and may prevent you from using the Service, which is provided only electronically. A notice we send to the email address on your account is treated as received 24 hours after we send it, unless we learn it was not delivered.

20. Miscellaneous

Severability: If any provision is unenforceable, the rest remain in effect. Entire agreement: These Terms, our Privacy Policy and the subprocessor list are the entire agreement regarding the Service. No waiver: Failure to enforce a provision is not a waiver. Assignment: You may not assign these Terms; we may assign them without restriction. Headings: Section headings are for convenience only and have no legal effect. Survival: Ownership, disclaimers, limitation of liability, indemnification, arbitration and governing-law provisions survive termination.
